1. Agreement to Terms

These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your," "Client") and SpeakPro Academy ("Company," "we," "us," "our"), a communication training service provider with registration number 74989397, located at 597 Johan Trail, Lake Anyaville, SC 53819, United States.

These Terms govern your access to and use of our website located at https://maxxcommunications.com/ (the "Site") and all related services, including but not limited to interview coaching, public speaking training, personal consultations, and communication skill development programs (collectively, the "Services").

By accessing our Site, registering for programs, scheduling consultations, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this binding agreement.

2.2 Account Creation

To access certain Services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your password
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

2.3 Account Termination

We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms or engaged in fraudulent, abusive, or illegal activity.

3. Services Description

3.1 Training Programs

SpeakPro Academy provides professional communication training services including:

• Interview Mastery Program: Comprehensive interview preparation including mock interviews, behavioral question frameworks, and salary negotiation strategies
• Public Speaking Excellence: Presentation skills training, stage presence development, and anxiety management techniques
• Personal Consultation Sessions: One-on-one customized coaching tailored to individual goals and challenges
• Executive Communication Workshops: Advanced training for senior professionals focusing on strategic communication and leadership presence

3.2 Service Delivery

Services may be delivered through various formats including:

• In-person sessions at our Lake Anyaville, SC location
• Virtual sessions via video conferencing platforms
• Hybrid models combining in-person and virtual elements
• Recorded materials and resources provided through our learning platform

3.3 Program Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We will make reasonable efforts to notify enrolled participants of significant changes to program content or delivery methods.

4. Enrollment and Payment Terms

4.1 Program Registration

Enrollment in programs requires completion of our registration process and payment of applicable fees. Your enrollment is confirmed upon receipt of payment and our confirmation email.

4.2 Pricing and Fees

All prices are stated in United States Dollars (USD) and are subject to change without notice. However, price changes will not affect confirmed enrollments or services already purchased. Prices displayed on our Site do not include applicable taxes unless specifically stated.

4.3 Payment Methods

We accept payment through various methods including credit cards, debit cards, and other payment options as displayed during checkout. Payment processing is handled by secure third-party payment processors.

4.4 Payment Authorization

By providing payment information, you represent and warrant that:

• You are authorized to use the payment method provided
• The payment information is accurate and current
• You will pay all charges incurred at the prices in effect when charges are incurred
• You will pay applicable taxes related to your purchases

4.5 Payment Plans

Some programs may offer payment plan options. If you enroll in a payment plan:

• You agree to make all scheduled payments by their due dates
• Failure to make timely payments may result in suspension of services
• Late fees may apply to overdue payments as permitted by law
• Access to program materials and sessions may be restricted until payment is current

4.6 Corporate and Group Billing

Organizations enrolling multiple participants may be eligible for group rates and invoicing options. Corporate billing arrangements are subject to separate agreements and terms.

5. Cancellation and Rescheduling

5.1 Session Rescheduling

Individual coaching sessions or consultations may be rescheduled subject to the following conditions:

• Rescheduling requests must be submitted at least 24 hours before the scheduled session
• Sessions cancelled with less than 24 hours notice may be forfeited
• Reasonable accommodations will be made for emergency situations
• Rescheduled sessions must be completed within the original program timeframe

5.2 Program Cancellation by Client

If you wish to cancel your enrollment in a program, our Refund Policy (available separately) governs refund eligibility and amounts. Please review the Refund Policy for complete details.

5.3 Cancellation by Company

We reserve the right to cancel or reschedule programs due to:

• Insufficient enrollment
• Instructor unavailability
• Force majeure events (see Section 14)
• Technical issues or facility problems

In the event of program cancellation by us, you will receive a full refund or the option to transfer to an alternative program.

6. User Responsibilities and Conduct

6.1 Acceptable Use

When using our Services, you agree to:

• Participate actively and professionally in all sessions
• Arrive on time for scheduled sessions
• Complete assigned exercises and homework
• Treat instructors and other participants with respect
• Maintain confidentiality of other participants' shared experiences
• Provide honest feedback when requested
• Use program materials solely for personal development purposes

6.2 Prohibited Activities

You agree NOT to:

• Record sessions without explicit written permission
• Share, distribute, or sell program materials to third parties
• Use our Services for any illegal or unauthorized purpose
• Harass, abuse, or harm other participants or instructors
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to our systems or networks
• Introduce viruses, malware, or other harmful code
• Interfere with or disrupt the integrity or performance of our Services
• Use automated systems (bots, scrapers) to access our Site
• Copy, reproduce, or reverse engineer any aspect of our Services

6.3 Consequences of Violation

Violation of these conduct provisions may result in immediate termination of your access to Services without refund, legal action, and liability for damages incurred by us or other users.

7. Intellectual Property Rights

7.1 Our Intellectual Property

All content, materials, features, and functionality available through our Services, including but not limited to:

• Text, graphics, logos, images, videos, and audio
• Training materials, workbooks, and resources
• Software, code, and technology
• Trademarks, service marks, and trade names
• Course curricula and methodologies

are owned by or licensed to SpeakPro Academy and are protected by United States and international intellectual property laws. The "SpeakPro Academy" name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company. You must not use such marks without our prior written permission.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use our Services for personal, non-commercial purposes
• Download and print program materials provided to you for your personal use
• View and reference training content during and after program completion

This license does not include any right to:

• Modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content or materials
• Use our materials for commercial purposes
• Share program access with unauthorized individuals

7.3 User-Generated Content

You retain ownership of any content you create or provide during programs (such as practice presentations or written exercises). However, by submitting content to us, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for purposes of providing Services to you and improving our programs.

7.4 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use such feedback without compensation or obligation to you.

8. Confidentiality

8.1 Our Commitment

We maintain confidentiality of information you share during coaching sessions and consultations. We will not disclose your personal experiences, challenges, or information shared in confidence without your consent, except as required by law.

8.2 Your Commitment

In group sessions or workshops, you agree to maintain confidentiality regarding other participants' shared experiences, personal information, and discussions.

8.3 Exceptions

Confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no breach of this Agreement
• Is required to be disclosed by law or legal process
• Is necessary to disclose to protect someone's safety or prevent harm

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of content
• Guarantees of specific outcomes or results from our programs

9.2 No Guarantee of Results

While we strive to provide high-quality training and coaching, we make no guarantees regarding specific outcomes such as job offers, promotions, or career advancement. Success depends on numerous factors beyond our control, including your effort, market conditions, and individual circumstances.

9.3 Not Professional Advice

Our Services provide educational training and coaching, not professional advice (legal, financial, medical, or psychological). Our programs do not replace professional career counseling, therapy, or other professional services. If you need professional advice, consult with qualified licensed professionals.

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SPEAKPRO ACADEMY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Loss of business opportunities or employment
• Cost of substitute services
• Personal injury or emotional distress

ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.5 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

9.6 State Law Variations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless SpeakPro Academy, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the Services
• Your violation of any third-party rights, including intellectual property rights
• Your violation of any applicable laws or regulations
• Any content you submit or transmit through the Services

11. Third-Party Services and Links

Our Services may contain links to third-party websites, applications, or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties. We do not endorse or assume any responsibility for third-party materials, products, or services.

We may use third-party service providers to facilitate our Services (such as payment processors, video conferencing platforms, or email service providers). These third parties have access to your information only to perform specific tasks on our behalf and are obligated to maintain its confidentiality.

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

If a dispute arises between you and SpeakPro Academy, we encourage you to first contact us directly to seek an informal resolution. Most concerns can be resolved quickly and amicably through direct communication.

12.2 Binding Arbitration

If informal resolution is unsuccessful, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services shall be resolved through binding arbitration rather than in court, except that:

• Either party may seek equitable relief in court for infringement or misuse of intellectual property rights
• Small claims court actions are permitted if they qualify under applicable rules

12.3 Arbitration Procedures

Arbitration shall be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes. The arbitration will take place in South Carolina, unless the parties agree otherwise.

12.4 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. TO THE FULL EXTENT PERMITTED BY LAW:

• NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER
• THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR RESOLVED ON A CLASS-ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES
• THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS

12.5 Exception for California Residents

If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing or by telephone.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina and the federal laws of the United States applicable therein, without regard to conflict of law principles.

Subject to the arbitration provisions above, you agree that any legal action or proceeding shall be brought exclusively in the federal or state courts located in South Carolina, and you consent to the personal jurisdiction of such courts.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, or severe weather
• War, terrorism, civil unrest, or government actions
• Pandemics, epidemics, or public health emergencies
• Labor disputes or strikes
• Internet, telecommunications, or utility failures
• Fire, flood, or other catastrophic events

In the event of force majeure, we will make reasonable efforts to resume normal operations and may offer alternative delivery methods for Services.

15. Modifications to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. Material changes will be communicated through:

• Email notifications to registered users
• Prominent notices on our Site
• Updates to the "Last Updated" date at the top of these Terms

Your continued use of our Services after changes become effective constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of our Services.

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.

No waiver by SpeakPro Academy of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and SpeakPro Academy regarding your use of our Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter.

19. Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

20. Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.
